PROJECT ENGAGEMENT
Project scope, deliverables, timelines, fees, and revision terms shall be defined separately through proposals, quotations, contracts, or statements of work.
CLIENT CONTENT
Clients represent and warrant that they possess all necessary rights, licenses, permissions, and approvals for materials supplied to HruZen Studio.
The Company shall not be liable for claims arising from unauthorized client-provided content.
INTELLECTUAL PROPERTY
Unless otherwise agreed in writing:
• HruZen Studio retains ownership of proprietary methodologies, workflows, systems, frameworks, templates, and internal assets.
• Ownership of final deliverables shall be transferred according to project agreements and payment completion.
• HruZen Studio reserves the right to display completed work in portfolios, presentations, marketing materials, and case studies.
PAYMENTS
Fees, deposits, payment schedules, and invoicing terms shall be outlined in project-specific agreements.
Failure to meet payment obligations may result in delayed delivery, suspension, or termination of services.
PERFORMANCE DISCLAIMER
Marketing, advertising, automation, and business consulting services involve variables beyond our control.
HruZen Studio does not guarantee:
• Revenue growth
• Lead volume
• Conversion rates
• Advertising performance
• Search engine rankings
• Business outcomes
Past performance does not guarantee future results.
THIRD-PARTY PLATFORMS
Our services may involve third-party platforms including Meta, Google, LinkedIn, YouTube, hosting providers, AI platforms, software vendors, and automation tools.
HruZen Studio shall not be responsible for outages, policy changes, account suspensions, algorithm changes, service interruptions, or actions taken by such third parties.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, HruZen Studio shall not be liable for indirect, incidental, consequential, punitive, special, or exemplary damages arising from or related to the use of our services.
CONFIDENTIALITY
Both parties agree to maintain the confidentiality of proprietary business information exchanged during the course of a project.
TERMINATION
HruZen Studio reserves the right to suspend or terminate services where:
• Terms are violated
• Payments remain outstanding
• Unlawful activity is detected
• Client conduct materially interferes with service delivery
GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of India.
MODIFICATIONS
HruZen Studio reserves the right to modify these Terms at any time. Continued use of our services constitutes acceptance of any updated version.
